1. Services Provided

1.1 Scope of Services

A. Custom Restaurant Website

• Design and development of a mobile-responsive restaurant website
• Hosting and maintenance of the website on RestauNax servers
• Custom branding and design based on Restaurant's specifications
• Search engine optimization (SEO) for improved online visibility

B. Online Ordering System

• Commission-free online ordering platform (0% transaction fees on customer orders)
• Integration with Restaurant's menu, pricing, and availability
• Customer-facing ordering interface on Restaurant's website
• Real-time order notifications

C. Menu Management Tools

• Online menu editor for adding, updating, and organizing menu items
• Support for menu categories, item descriptions, pricing, modifiers, and customizations
• Ability to mark items as unavailable or out of stock in real-time

2. Subscription and Fees

2.1 Subscription Plan and Pricing

Monthly subscription fees vary based on the selected plan and any custom pricing agreements.

2.2 Payment Terms

• First Payment

  Due immediately upon execution of this Agreement and activation of Services

• Subsequent Payments

  Automatically charged to Restaurant's designated payment method on the billing anniversary date each month

• Payment Method

  Credit card via Stripe (Visa, Mastercard, American Express, Discover)

• Currency

  All fees are quoted and payable in U.S. Dollars (USD)

2.3 No Setup Fees

There are no one-time setup fees, activation fees, or onboarding fees. The monthly subscription fee is the only recurring charge.

3. Term and Renewal

This Agreement continues on a month-to-month basis until terminated by either party in accordance with Section 4. This Agreement automatically renews each month unless either party provides notice of cancellation.

4. Cancellation and Termination

4.1 Cancellation by Restaurant

Restaurant may cancel this Agreement at any time by logging into the RestauNax dashboard or sending written notice to support@restaunax.com. No advance notice is required.

4.2 Effect of Termination

Upon termination, Restaurant's website will go offline, access to Services will be disabled, and data will be retained for 30 days to allow for export.

5. Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTAUNAX'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY RESTAURANT IN THE 12 MONTHS PRECEDING THE CLAIM, OR $500, WHICHEVER IS GREATER.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action shall be brought exclusively in Hillsborough County, Florida.
