Restaurant Participation Agreement

This Restaurant Participation Agreement ("Agreement") is entered into between RESTAUNAX LLC and the restaurant entity subscribing to our Services ("Restaurant," "you," or "your").

By creating a RestauNax account and subscribing to our Services, you agree to be bound by this Agreement, along with our Terms of Service and Privacy Policy.

1. Definitions
  • Services

    The RestauNax restaurant management software platform, including website hosting, online ordering system, menu management tools, and analytics dashboard

  • Restaurant Website

    The custom-branded website created and hosted by RestauNax for Restaurant's online presence

  • Customer

    Any individual who places an order through Restaurant's website powered by RestauNax

  • Subscription Fee

    The monthly or annual fee paid by Restaurant to access and use the Services

2. Services and Features

RestauNax will provide Restaurant with access to the following Services:

A. Custom Restaurant Website
  • Mobile-responsive, custom-branded website
  • Hosting and maintenance on RestauNax servers
  • SSL certificate for secure HTTPS connections
  • Search engine optimization (SEO)
B. Online Ordering System
  • 0% commission on customer orders
  • Secure payment processing via Stripe
  • Real-time order notifications
  • Support for delivery, pickup, and dine-in orders
3. Restaurant's Responsibilities
A. Legal Compliance
  • Health department regulations and food safety standards
  • Business licensing and permits
  • Tax obligations
  • Labor and employment laws
B. Food Safety and Quality
  • Ensure all food is prepared safely
  • Accurately disclose ingredients and allergens
  • Handle customer complaints promptly
C. Menu and Content Accuracy
  • Provide accurate and up-to-date menu information
  • Update prices and availability in real-time
4. Subscription Fees

Restaurant agrees to pay the monthly Subscription Fee as specified during sign-up. Fees are automatically charged to Restaurant's payment method.

No Commission on Orders: RestauNax does NOT charge a commission on customer orders. Restaurant keeps 100% of revenue (minus payment processing fees charged by Stripe).

5. Data Ownership

Restaurant owns all Customer Data, menu content, and branding materials uploaded to the Services. Restaurant may request a full export of its data at any time.

6. Termination

Restaurant may cancel this Agreement at any time by logging into the RestauNax dashboard or contacting support@restaunax.com. Upon termination, Restaurant's website will go offline and data will be retained for 30 days.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTAUNAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Liability Cap: RestauNax's total liability shall not exceed the amount paid by Restaurant in the 12 months preceding the claim, or $500, whichever is greater.

8. Governing Law

This Agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved in the courts located in Hillsborough County, Florida.
